Certificate of Good Standing

Officially known as a Certificate Under Seal, in New York, a Certificate of Good Standing or Existence is a document issued by an official from the state from which this document is originated in. For New York, this is the Secretary of State. This document provides proof that a corporation or LLC is legitimate, legal, and has the authorization to conduct business in the state of origin. It also recognizes the corporation as being compliant with state required formalities.

The Certificate of Good Standing will also note that a corporation is properly incorporated and is authorized to conduct business in that given state. The certificate also notes that the corporation has paid all fees, taxes and has paid any penalties owed to the state.

Articles of Incorporation or Organization

This is the document one files with the Department of State when your company was “incorporated”, or in the case of an LLC, "Organized." This is the ruling document giving proof that your company was incorporated or Organized in any given state. Articles of Incorporation will list address name of board of directors, corporate officers, or organizer and pertinent information about the company.

Certified copies bear the Seal of the Department of State, the signature of the state officer (Secretary of State or Deputy Secretary of State) and the statement that an examination of the filed records of the Department of State has found that the company exists and has not been dissolved.
